General Terms and Conditions of Sale
1. Company Overview
ELISYS is a company founded by Ella BRABRA and Vincent SENEZ, who together bring over 15 years of experience in the fields of digital technologies, facilities management, and the circular economy.
We offer consulting, support, and digital transformation services tailored to businesses.
2. Purpose
These General Terms and Conditions of Service (GTCS) define the terms and conditions under which ELISYS provides its services to professional clients.
3. Acceptance
Any request or order for services implies the client’s full and unconditional acceptance of these General Terms and Conditions of Service (GTCS), unless otherwise agreed in writing beforehand.
4. Description of Services
ELISYS notably offers the following services:
- Digital strategy consulting
- Deployment of digital solutions
- Project management and support
- Tools for the circular economy
The details of the services are specified in quotes, contracts, or commercial proposals specific to each client.
5. Financial Terms
Service fees are quoted in euros excluding VAT.
Each service will be subject to a quote or a contract signed by both parties.
6. Payment Terms
Payment shall be made according to the terms agreed upon in the quote or contract.
Late payment penalties may be applied in accordance with Article L441-10 of the French Commercial Code.
7. Commitments and Liability
ELISYS commits to providing services with diligence and professionalism.
ELISYS cannot be held liable in case of misuse of deliverables or in cases of force majeure.
8. Confidentiality
The parties agree to keep confidential all information exchanged within the scope of the services.
9. Intellectual Property
All documents, deliverables, and tools produced by ELISYS remain its intellectual property, unless otherwise specified in the contract.
10. Disputes
In case of a dispute, the parties will first seek an amicable solution.
Failing that, the competent courts shall be those with jurisdiction over ELISYS’s registered office.
